Company Secretary

Overview:
This Position is for Company Secretary - Corporate Secretarial full time with Qualification of LLB, CS and Experience of 3 to 6 Years

Responsiblities:
• To hold Company Secretary statutory position of the group companies (India and Overseas companies i.e., subsidiaries and step-down subsidiaries) for statutory compliance purpose and handle the secretarial and legal matters on end-to-end basis.
• Expert in Legal, corporate laws, securities laws & capital market and corporate governance etc.
• Responsible for all regulatory compliances of company, BM’s, annual filings, Pre-certification of e-forms etc.
• Responsible for Secretarial/ Compliance Audit.
• Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
• Maintain statutory books, including registers of members, directors, and secretaries, Experience in handling tools, automation in the secretarial tools e.g. board portal, legal compliances, secretarial matters, insider trading etc
• Advisory to the board of directors on best practices in corporate governance
• Compliances and liaising with the Ministry of Corporate Affairs, Registrar of Companies, the Reserve Bank of India, FEMA, Securities and Exchange Board of India, and other statutory authorities. i.e. ODI, APR filling etc.
• Represent before several regulators and other authorities under the Act connected with the discharge of duties under the Act.
• Anticipate and drive solutions for a diverse range of legal and business issues, Highlighting the risk factors and suggesting precautionary measures to the operations/sales team during execution of projects.
• Discharge such other duties as specified under the Act or rules.
• Facilitate the convening of meetings, attend general, board and committee meetings, and maintain the minutes of these meetings.
• Coordinate with sales & operations team for review contracts, purchase orders, Work orders, Agreements, NDAs, tenders, bid documents, customer contractual terms and conditions etc. and highlight risks, suggestions for mitigation of risks in consultation with Legal Counsel in line with
